Non-Disclosure Agreement – Build Document

A Non-disclosure Agreement (NDA) is a legal contract between at least two parties that outlines confidential material, knowledge, or information that the parties are required to share with one another. An NDA is also known as a confidentiality agreement (CA), confidential disclosure agreement (CDA), proprietary information agreement (PIA), or secrecy agreement (SA). Parties use these agreements to ensure a confidential relationship protects any type of proprietary information or trade secrets. Generally speaking, an NDA protects non-public business information.
The NDA below is a one-way NDA (i.e. the most common type) but an NDA can also be ‘mutual’, implying that both parties are restricted in their use of the materials shared. Use the Mutual NDA document if that is what you require.
